VEND101 Platform Terms

Terms between platform users and VEND101 for use of the technology infrastructure. Opportunity-specific terms are set by each business.

1. What VEND101 provides

VEND101 provides technology infrastructure for discovery, records, communication, transaction workflows, inventory tracking, and related platform services connecting businesses, buyers, and vending channels. Unless explicitly stated in writing, VEND101 is not the seller of third-party products listed on the platform.

2. Your responsibilities

  • Businesses are responsible for their products, representations, and opportunity-specific terms.
  • Vending channels are responsible for vending services and their contractual obligations.
  • Buyers must independently review each opportunity's terms before purchasing.
  • You must provide accurate information and comply with applicable laws in your jurisdiction.

3. No guaranteed outcomes

Estimated sale periods, discounts, and fundraising totals are estimates—not guarantees. VEND101 does not guarantee that inventory will sell, that buyers will achieve any resale value or profit, or that vending channels will perform at any particular level. Verification badges reflect completed checks at a point in time, not a guarantee of future performance.

4. Returns, payments, and records

Return promises are defined by the business in each opportunity's terms. Payment verification may be manual or automated through integrated providers; applicable payment-provider terms apply. Platform records may be used to document transactions and support dispute procedures.

5. Liability, disputes, and enforcement

The platform terms include limitations of liability, indemnification, dispute procedures, account suspension, fraud controls, intellectual property, privacy and data processing, prohibited products and activities, and governing law as set out in the full agreement. Nothing in a summary replaces the complete terms or eliminates statutory, regulatory, consumer-protection, payment, privacy, or other obligations that may apply.

Role-specific terms also apply: Vendor terms, Vending channel terms, and Pricing.

Counsel review required

This summary supports product UX and onboarding. Have qualified counsel draft and approve the full Platform Terms once your entity, launch jurisdiction, payment flows, and transaction structure are finalized.
